These business terms govern a merchant’s use of the Nuemed Pay app, backend and related support. They do not replace the merchant’s separate agreements with Stripe.
1. Agreement and eligibility
These Nuemed Pay Merchant Terms form a legally binding agreement between Vantis Strategies LLC, a Wyoming limited liability company doing business as Nuemed (“Nuemed”, “we”, “us”), and the business or sole trader that connects a Stripe account or uses Nuemed Pay (“Merchant”, “you”).
By connecting a Stripe account, clicking to accept these Terms or using Nuemed Pay, you confirm that you have read and agree to these Terms and the Nuemed Pay Privacy Policy. If you act for an organisation, you represent that you have authority to bind it.
You must be at least 18, legally able to enter a business contract, and established in a country where Nuemed Pay, Stripe Connect, Stripe Terminal and the selected payment method are supported. You must maintain an eligible existing Stripe account in good standing and provide accurate information to Stripe.
2. The Nuemed Pay service
Nuemed Pay is a mobile application for iOS and Android with a supporting backend that lets an authorised Merchant:
- Connect an existing Stripe account using Stripe Connect.
- Create in-person card payments using Tap to Pay on a supported phone or a supported Stripe Terminal reader.
- View limited payment information fetched from Stripe, send receipts and initiate full or partial refunds.
- Manage Stripe Terminal locations and Nuemed Pay preferences.
Nuemed provides software, not banking, acquiring, money-transmission or regulated payment-processing services. Stripe supplies the payment account and payment-processing services. The Merchant remains the seller or service provider to its customer and is responsible for the underlying transaction.
3. Your relationship with Stripe
Use of Nuemed Pay requires a separate Stripe account and acceptance of the agreements that apply to that account, including the Stripe Connected Account Agreement and applicable Stripe Services Agreement.
Stripe controls account verification, payment-method availability, card acceptance, risk reviews, reserves, settlement, payout timing, processing fees and restrictions applied to the Stripe account. Nuemed cannot override a Stripe decision or guarantee that Stripe will approve or continue providing any service.
Nuemed Pay is an independent Nuemed product designed to work with Stripe. It is not sponsored or endorsed by Stripe. Stripe names and marks belong to Stripe and are used only to describe compatibility and the payment service.
4. Authorised Stripe access
When you connect Stripe, you authorise Nuemed Pay through Stripe’s login and permission flow. This authorisation allows the Nuemed backend to perform requested actions on the connected account, including creating and reading card-present PaymentIntents, creating Terminal connection tokens and locations, sending receipt instructions, initiating refunds, reading account status and collecting the Nuemed Pay application fee.
Nuemed Pay never asks for or sees your Stripe password. Backend credentials and Stripe secret keys are not stored in the mobile applications.
You may revoke access by using Disconnect and delete Nuemed data in the app. Revoking Nuemed’s access does not close your Stripe account or delete Stripe’s payment records.
5. Nuemed Pay fee, Stripe fees and taxes
Nuemed charges an application fee equal to 1% of the full payment amount, including any tip, for payments created through Nuemed Pay. The fee is calculated in the payment currency, rounded to the nearest smallest currency unit and subject to a minimum of one smallest currency unit. For example, the smallest unit is one penny for GBP.
Stripe deducts and transfers the Nuemed Pay fee as part of the connected-account payment. Stripe’s processing, Tap to Pay, Terminal, currency-conversion, dispute and other fees are separate and governed by your Stripe agreement. Those Stripe fees are not included in Nuemed’s 1% fee.
You are responsible for taxes that apply to your use of Nuemed Pay or to payments you accept, except taxes based on Nuemed’s net income. Unless applicable law requires otherwise, displayed fees exclude applicable sales, use or value-added taxes.
We may change the Nuemed Pay fee prospectively by giving reasonable advance notice. A new fee will not apply to payments completed before its effective date. If you do not accept a change, you must stop using Nuemed Pay and disconnect before it takes effect.
6. Merchant payment responsibilities
You are responsible for:
- Entering and confirming the correct payment and tip amounts before presenting the phone or reader to the customer.
- Obtaining any customer authorisation, notice or consent required for the payment and receipt.
- Supplying the goods or services underlying the payment and complying with consumer, tax, card-network, refund and sector-specific laws.
- Checking the final payment state in Nuemed Pay or Stripe before treating a payment as successful.
- Avoiding duplicate charges, particularly when a payment outcome is processing or uncertain.
- Maintaining appropriate records in Stripe and any accounting or business system you use.
Nuemed Pay’s display is a convenience interface. Stripe’s records remain the authoritative payment ledger.
7. Refunds, disputes and fee returns
Nuemed Pay can submit a full or partial refund to Stripe on your instruction. You are responsible for confirming the payment and refund amount before submission. Stripe determines whether a refund can be processed and how long it takes to reach the customer.
When a payment is refunded through Nuemed Pay, the Nuemed Pay application fee is returned in the same proportion as the payment refund. If a Stripe dispute is finally closed as lost, Nuemed returns any remaining Nuemed Pay fee for that payment.
Stripe processing fees, dispute fees, currency-conversion charges and other Stripe amounts are handled under your Stripe agreement and may not be returned. A fee return by Nuemed does not affect your responsibility for the customer transaction, refund or dispute.
8. Customer receipts
After a successful payment, a customer may ask the Merchant to provide an email receipt. The email address entered in Nuemed Pay is transmitted through the Nuemed backend solely to be forwarded to Stripe. Nuemed does not retain it in its database or application logs.
You must enter an email address only at the customer’s request and use it only for the receipt and other purposes separately permitted by law. Stripe sends and maintains the receipt under its service.
9. Devices, readers and service availability
You must use a compatible iOS or Android phone or tablet, a supported operating-system version, an eligible Stripe account and a supported Tap to Pay or Stripe Terminal configuration. Reader availability varies by country, device and hardware model.
You are responsible for internet connectivity, Bluetooth access, any location permission required by Stripe Terminal, device security, reader charging, software updates and compliance with Stripe’s reader instructions.
Nuemed Pay may be unavailable because of maintenance, connectivity, Apple, Google, Stripe, card-network or hardware issues outside Nuemed’s control. You should maintain an appropriate alternative payment process for your business.
10. Acceptable use
You must not use Nuemed Pay:
- For unlawful, fraudulent, deceptive or unauthorised transactions.
- For goods, services or activity prohibited by Stripe, card networks or applicable law.
- To test stolen cards, evade monitoring, create artificial transactions or misrepresent a payment’s purpose.
- To interfere with security, reverse engineer the service, bypass limits, automate abusive requests or access another merchant’s information.
- To submit patient names, medical information, full card details, security codes, PINs or unnecessary payment information through support messages or diagnostics.
You must not permit another person or business to process through your connected account unless Stripe and applicable law allow it.
11. Account and device security
You are responsible for protecting your phone or tablet, reader, Stripe credentials and access to Nuemed Pay. You must use reasonable device security, maintain current software and promptly disconnect access or contact support if you suspect loss, compromise or unauthorised use.
Notify us at info@nuemed.io if you believe Nuemed Pay access has been compromised. You should separately notify Stripe about any concern affecting your Stripe account.
12. Privacy, retention and deletion
Our processing is described in the Nuemed Pay Privacy Policy. Nuemed Pay does not store card information or copy Stripe payment history into its PostgreSQL database.
Using the in-app disconnect-and-delete control revokes Nuemed’s Stripe access and deletes Nuemed Pay’s connection, session and preference records. Stripe’s account and payment records remain governed by the Merchant’s Stripe agreement and legal obligations.
13. Intellectual property and feedback
Nuemed and its licensors retain all rights in Nuemed Pay, including software, designs, documentation, branding and updates. Subject to these Terms, Nuemed grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to use Nuemed Pay for your internal business payment operations.
You may not copy, resell, sublicense, modify or create derivative works from Nuemed Pay except where applicable law expressly permits. If you provide feedback, you permit Nuemed to use it without restriction or payment, provided we do not identify you publicly without permission.
14. Suspension, disconnection and termination
We may restrict or suspend Nuemed Pay access where reasonably necessary to protect security, prevent fraud, comply with law or Stripe requirements, address non-payment, investigate misuse or respond to a material breach of these Terms. Where appropriate, we will give notice and an opportunity to resolve the issue.
You may terminate these Terms at any time by disconnecting and deleting Nuemed Pay data in the app and ceasing use. We may discontinue Nuemed Pay or terminate these Terms on reasonable notice, or immediately for a serious breach, fraud, legal requirement or security risk.
Termination stops new Nuemed Pay activity but does not reverse completed payments, extinguish accrued obligations or delete records held independently by Stripe. Terms that by their nature should survive—including payment, intellectual property, disclaimers, liability and dispute provisions—continue after termination.
15. Warranties and limitation of liability
Nuemed will provide Nuemed Pay with reasonable care and skill. Except for express commitments in these Terms and rights that cannot legally be excluded, Nuemed Pay is provided “as available” without warranties that it will be uninterrupted, error-free, compatible with every device or available in every market.
Nuemed is not responsible for Stripe’s payment services, account decisions, settlement timing, processing errors, reserves or restrictions; Apple or Google services; card networks; merchant hardware; internet or Bluetooth connectivity; or the Merchant’s goods, services, refunds, taxes or customer disputes.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for lost profit, revenue, goodwill, anticipated savings or data, arising from Nuemed Pay.
To the maximum extent permitted by law, Nuemed’s aggregate liability arising from Nuemed Pay or these Terms will not exceed the Nuemed Pay fees paid or payable by the Merchant during the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation or wilful misconduct.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Mandatory protections that apply to you under local law remain unaffected.
Before starting formal proceedings, a party must send written notice describing the dispute and requested resolution. The parties will try in good faith to resolve it for at least 30 days.
Except for eligible small claims or urgent injunctive relief, an unresolved dispute will be finally resolved by confidential binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in English, by one arbitrator, remotely or in Sheridan County, Wyoming. Each party must bring claims individually, and class or representative proceedings are waived to the extent enforceable.
17. Changes, notices and contact
We may update these Terms to reflect changes to Nuemed Pay, Stripe requirements, fees, security, operations or law. We will provide reasonable advance notice of a material change. Changes apply prospectively from their stated effective date.
Nuemed may send operational or legal notices through the app, the website or contact details associated with support. Notices to Nuemed may be sent to legal@nuemed.io.
